1. Acceptance of Terms

By accessing and using the website of Karolina Huba (the "Website") and/or engaging in our coaching services (the "Services"), you agree to be bound by these Terms and Conditions (the "Terms"). If you do not agree to these Terms, please do not use the Website or the Services.

2. Services

We offer certified professional coaching services in areas including Career Development, Work/Life Balance, and Personal Growth. Our methodology is primarily rooted in the Certified Professional Co-Active Coach (CPCC) and Positive Intelligence (PQ) frameworks. The specific details of each coaching program, including duration, fees, and deliverables, will be outlined in a separate agreement or proposal provided to you (the "Service Agreement").

3. Client Responsibilities

You are responsible for actively and authentically participating in the coaching process, completing agreed-upon Committed Actions, and communicating openly and honestly with your coach. You understand that coaching is not therapy or counseling, and that the success of the coaching process—including the consistent practice required for Positive Intelligence mastery—depends heavily on your commitment and effort.

4. Payment and Fees

Fees for our Services will be outlined in your specific Service Agreement. Payment terms will also be specified in that document. We reserve the right to change our fees at any time, but we will provide you with reasonable notice of any changes.

5. Cancellation and Rescheduling

• Client Cancellations: Sessions canceled or rescheduled with less than 24 hours notice prior to the scheduled time will be subject to a cancellation fee equal to 100% of the session fee, as this time cannot be recovered.

• Client Rescheduling: You must provide at least 24 hours notice to reschedule a session without penalty.

• Coach Cancellations: We will make every effort to provide reasonable notice if we need to cancel or reschedule a session, and we will offer a makeup session at the earliest mutually convenient time.

6. Confidentiality

We are committed to maintaining the confidentiality of your personal information and the information you share during coaching sessions. However, there are certain legal and ethical exceptions to confidentiality, such as situations involving imminent harm to yourself or others (e.g., as required by the ICF Code of Ethics). 7. Intellectual Property

All materials provided to you as part of the Services, including but not limited to documents, worksheets, and proprietary presentations, are the intellectual property of Karolina Huba and may not be reproduced or distributed without our prior written consent.

8. Disclaimer of Warranties

We make no warranties, express or implied, about the specific results or guaranteed outcomes of our coaching services. While we are committed to providing you with powerful support and guidance, the results of coaching are dependent on various factors, including your application of the skills, your personal efforts, and your unique circumstances.

9. Limitation of Liability

To the extent permitted by law, we will not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with your use of the Website or the Services.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Poland.

11. Dispute Resolution

Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through mutual negotiation and non-binding mediation. If mediation is unsuccessful, disputes shall be subject to litigation in the courts of Wrocław, Poland.

12. Entire Agreement

These Terms constitute the entire agreement between you and Karolina Huba regarding the Website and the Services and supersede all prior agreements and understandings, whether written or oral.

13. Changes to these Terms

We reserve the right to modify these Terms at any time. Any changes will be posted on the Website with a revised "Effective Date." Your continued use of the Website or the Services following the posting of revised Terms constitutes your acceptance of those changes.
